Section 2Scope

2.1. These Terms of Service ("the Terms") apply to the fixed-price professional services sold by the Provider under the MOE CAPITAL Digital brand, each described on the services page (lesbonsmots.gumroad.com/services) ("the Service Page") and confirmed by a written quote ("the Quote"), and, as set out in section 2.5, to digital products and their licenses.

2.2. They apply to business customers and consumers. Provisions specific to each category are marked. Some services are for business customers only: the Service Page says so and the Customer confirms it in writing when accepting the Quote.

2.3. Where payment is collected through a payment platform, such as Gumroad, Inc. acting as merchant of record under its own terms, that platform's payment, refund and chargeback terms, available at gumroad.com/terms, apply in addition to these Terms, which do not limit them. Those terms do not deprive consumers or non-professionals of the rights they have under the law and under sections 14, 23 and 24.4 of these Terms, which prevail: no platform clause stating that purchases are final or non-refundable can be relied on against them.

2.4. If the accepted Quote, the Service Page and these Terms conflict, the accepted Quote prevails, then the Service Page in force on the order date. The applicable Terms are those attached to the Quote and accepted when ordering.

2.5. Sections 18 to 27 apply to the digital products (templates, workbooks, specifications, guides) sold under the MOE CAPITAL Digital brand and listed in Schedule A of the License Terms, and to the licenses that allow their use, whether the buyer is a business customer or a consumer. For these products, sections 1, 2.3, 3, 13, 15, 16 and 17 also apply; sections 2.2, 2.4, 4 to 12 and 14 apply to services only. Sections 18.3, 21, 22.1, 22.2, 23 and 24 also apply to the digital products for personal use presented in the MOE CAPITAL Digital shop (for example the property project and house-building tools): their license is the one stated on their Product Page.

Section 4Nature of the services

4.1. The services are intellectual decision-support services, performed remotely and solely on the basis of the information and documents supplied by the Customer. The Provider undertakes to use its best professional efforts (obligation de moyens).

4.2. Unless the Service Page expressly says otherwise, the services include no site visit, measurement or survey; no intervention on, connection to or action on the Customer's systems; no construction works; no design, works management, works supervision or technical inspection; no property brokerage, tenant search, property management or handling of funds; no bookkeeping, auditing or certification of accounts; no legal, tax or financial advice. Regulatory information is factual, dated and must be confirmed by a qualified professional or the relevant authority.

4.3. The Provider is not an architect and does not use that title.

4.4. The Provider uses software tools, including generative artificial intelligence tools, to analyse documents and prepare Deliverables. Every Deliverable is reviewed and approved by the Provider before delivery. Examples and demos on the sales pages use fictitious data.

4.5. The service is performed by the Provider and is not subcontracted to another service provider without the Customer's written consent.

Section 5Orders

5.1. The Customer sends a written request through the messaging on the MOE CAPITAL Digital LinkedIn page. The Provider replies with a written Quote together with these Terms, stating the earliest possible start date. The contract is concluded on the date the Customer accepts the Quote and these Terms in writing ("the order"); this acceptance implies acceptance of the Service Page.

5.2. After ordering, the Customer answers the questionnaire and sends the requested documents as specified in the Quote. The Customer must not send any password, key, secret or credential; any file containing one is deleted and the order is paused until a clean version is sent.

5.3. The Provider checks the file within 3 working days and may decline the order in writing, with a full refund of the deposit, if the request is outside the scope of the Service Page, the file is inconsistent, or the order would create a conflict of interest or be incompatible with a contractual commitment of the Provider.

5.4. For consumers, the Provider sends the contract confirmation on a durable medium (a written document, such as an e-mail or a PDF file, including these Terms, the Service Page and the withdrawal form) before work starts.

5.5. If a consumer orders a business-only service, the order is cancelled and the deposit refunded in full.

Section 6Prices and payment

6.1. Prices are fixed and stated in euros excluding VAT on the Service Page and in the Quote; any applicable VAT is added. For services open to consumers, the Service Page and the Quote also state the price including VAT for a buyer in France.

6.2. Payment is made in two instalments: a 50% deposit at order, then the 50% balance on delivery of the Deliverable. Payment arrangements are set out in the Quote. Sums paid at order are part-payments (acompte), not 'arrhes' that either party could forfeit to cancel (French Consumer Code, article L214-1).

6.3. Business customers. If the balance is not paid on delivery, it is payable within 30 days of delivery. Late payment automatically bears interest at the European Central Bank's most recent refinancing rate plus 10 percentage points, plus a fixed recovery fee of €40 (French Commercial Code, articles L441-10 and D441-5). Public buyers. For a buyer subject to the French public procurement code, late payment automatically bears statutory late-payment interest (European Central Bank rate plus 8 percentage points) and the fixed recovery fee of €40 (French public procurement code, articles R2192-31 et seq.).

Section 7Performance and turnaround

7.1. The turnaround on the Service Page is stated in working days. It runs from the Provider's written confirmation that the complete file has been received and, for a consumer, from the end of the withdrawal period unless the consumer expressly asked in writing, when ordering, for work to start immediately (section 14).

7.2. The turnaround is suspended while the Provider waits for answers or additional documents. The Customer undertakes to reply within 10 working days.

7.3. Where the Service Page includes it, one video call of at most 30 minutes takes place on a date agreed in writing. All other exchanges are in writing.

7.4. If the complete file is not received within 30 days of the order, the Provider may cancel the order and then refunds the deposit in full.

7.5. If the Provider exceeds the turnaround by more than 10 working days for a reason not attributable to the Customer, the Customer may terminate the order in writing and obtain a refund of the sums paid.

7.6. The Customer warrants that it holds the rights needed to share the documents provided and that sharing them breaches no confidentiality obligation towards a third party.

Section 8Delivery and revisions

8.1. The Deliverable is sent to the Customer in writing, as specified in the Quote.

8.2. The Customer has 10 working days after delivery to request, once and in writing, revisions within the scope of the Service Page. Revisions are delivered within 5 working days. Requests outside the scope require a new order.

8.3. Business customers. If no revision is requested within that period, the Deliverable is deemed accepted.

↑ Contents

Section 9No guaranteed result

The Provider guarantees no result: no saving, return, rent, occupancy rate, regulatory compliance, security level, or success of a project or tender. Estimates, ranges and scenarios rest on the assumptions written in the Deliverable and on the information supplied by the Customer. The Customer alone decides how to use the Deliverables. This section applies subject to mandatory statutory liability and guarantees.

↑ Contents

Section 10Liability

10.1. Business customers. The Provider is liable only for proven fault. Liability is limited to direct and foreseeable loss and capped at the total price paid for the order concerned. Indirect loss is excluded, including loss of revenue, profit, opportunity or data, and the consequences of decisions made by the Customer or by third parties (contractors, suppliers, authorities). These limits do not apply to gross negligence, wilful misconduct or personal injury, nor to builders' statutory liability where the Service Page includes a share in the design of a building work (French Civil Code, articles 1792 to 1792-5).

10.2. The Provider is not liable for the consequences of inaccurate, incomplete or outdated information or documents supplied by the Customer.

10.3. Consumers and non-professionals. Nothing in these Terms excludes or limits the right to compensation of a consumer or a non-professional if the Provider fails to perform any of its obligations, nor any of their statutory rights.

↑ Contents

Section 11Intellectual property

11.1. Upon full payment, the Customer receives a non-exclusive, worldwide licence, for the full term of the rights, to use, copy and adapt the Deliverable for its own needs, including sharing it with its advisers, its contractors and the bidders of a tender it organises. Resale or distribution of the Deliverable as a template is excluded.

11.2. The Provider retains all rights in its methods, tools, generic templates and pre-existing products, including those of the MOE CAPITAL Digital catalogue used as a base.

11.3. Documents supplied by the Customer remain its property.

↑ Contents

Section 12Confidentiality

12.1. The Provider treats the Customer's documents and information as confidential, uses them only to perform the order and shares them only with the tools and technical providers needed (section 13).

12.2. The Provider never names the Customer or its project as a reference without written consent.

12.3. The Customer's documents are deleted no later than 3 months after the end of the revision period. The Deliverable and the exchanges are kept for 5 years as evidence, then deleted; for a service that includes a share in the design of a building work, they are kept until the ten-year liability expires (French Civil Code, article 1792-4-1). Accounting records are kept for the statutory period.

12.4. Confidentiality does not apply to public information or to disclosures required by law or by an authority.

Section 13Personal data

13.1. Customer data. SASU MOE CAPITAL is the controller of the Customer's and the Licensee's contact and order data. Purposes and legal bases: performance of the order (contract), invoicing and accounting (legal obligation), complaints and defence of rights (legitimate interest). Recipients: LinkedIn messaging and, where applicable, the e-mail provider used for exchanges, the payment provider named in the Quote, for Products the sales platform (Gumroad, Inc., established in the United States), the AI tools used for production, the accountant. Some of them may be established outside the European Union; transfers then rely on the safeguards of Articles 44 et seq. of Regulation (EU) 2016/679 (GDPR). Retention: duration of the relationship plus 5 years; accounting records 10 years. Rights: access, rectification, erasure, restriction, objection and portability, exercisable through the messaging on the MOE CAPITAL Digital LinkedIn page, by e-mail (hocine.bechaoui@gmail.com) or by post to the registered office; complaints may be lodged with the French data protection authority, the CNIL (www.cnil.fr), or the authority of your country.

13.2. Personal data in the Customer's documents. The Customer sends only the personal data strictly necessary and anonymises the rest (for example roles instead of names, truncated line numbers). When the Provider processes personal data on behalf of a business customer, it acts as a processor under Article 28 GDPR: it processes the data only to perform the order, ensures confidentiality and security, uses only sub-processors of the categories listed in section 13.1, which the Customer authorises, helps the Customer answer data subjects' requests, notifies any personal data breach without undue delay, deletes the data within the period of section 12.3 and makes available the information needed to demonstrate compliance.

Section 14Right of withdrawal (consumers only)

14.1. Period. Consumers have 14 days from the conclusion of the contract (the order date) to withdraw without giving any reason (French Consumer Code, article L221-18; Directive 2011/83/EU, article 9). The day of the order is not counted; a period ending on a Saturday, Sunday or public holiday is extended to the next working day.

14.2. How to withdraw. Before the period expires, send the model form below or any other unequivocal statement through the messaging on the MOE CAPITAL Digital LinkedIn page, by e-mail (hocine.bechaoui@gmail.com) or by post to the registered office. The Provider sends an acknowledgement on a durable medium without delay, stating the content of the statement and the date and time it was sent.

14.3. Refund. The Provider refunds all payments received no later than 14 days after being informed of the decision, using the same means of payment as for the order.

14.4. Starting within the withdrawal period. Unless the consumer expressly asks for it, work does not start before the withdrawal period has expired and nothing is due in the event of withdrawal. If the consumer expressly asks in writing, when ordering, for work to start within the withdrawal period and then withdraws, the consumer pays an amount proportionate to the service provided until the Provider is informed of the withdrawal.

14.5. Exception. The right of withdrawal can no longer be exercised once the service has been fully performed, where performance began with the consumer's prior express consent and acknowledgement that the right would be lost once the contract had been fully performed.

14.6. Business customers. Distance contracts between businesses carry no right of withdrawal.

Section 17Governing law and disputes

17.1. These Terms are governed by French law. For customers in France, the French version (lesbonsmots.gumroad.com/cgv) prevails.

17.2. Business customers. Where both parties are traders (commerçants), disputes fall under the exclusive jurisdiction of the courts of the Provider's registered office.

17.3. Consumers. Consumers may bring proceedings before the courts having jurisdiction under the applicable rules, including the courts of their place of residence where the law allows. Consumers habitually resident in another country keep the protection of the mandatory rules of the law of that country.

Section 18Digital products: contract documents

18.1. The sale of a Product is governed by the Product Page in force on the order date, the License Terms and these Terms. In case of conflict, the Product Page prevails, then the License Terms, then these Terms. The rights stated on the Product Page for the Company level are neither reduced nor changed by these Terms or by the License Terms.

18.2. The License Terms are available before purchase at lesbonsmots.gumroad.com/license-terms (French version: lesbonsmots.gumroad.com/licences) and attached to every Product as a PDF file. They are also sent to any business buyer who asks for them (French Commercial Code, article L441-1).

18.3. Payment for a Product ordered online is collected by Gumroad, Inc., acting as merchant of record; that platform's payment, refund and chargeback terms apply in addition to these Terms, which do not limit them, subject to section 2.3: they do not deprive consumers or non-professionals of the rights they have under the law and under section 23. The License is granted directly by the Publisher to the Licensee.

↑ Contents

Section 19License levels

19.1. Each Product is offered at three License levels, defined by the License Terms and summarized in Appendix 1:

  • Company or personal use (the "Company" level): one entity, with all its staff and sites, for its own needs and in the terms of the Product Page; for a consumer, the individual acquiring the License, for their personal needs;
  • Team: up to five entities of the same group, the same set of public bodies or the same consortium, each with the rights of the Company level;
  • Consultancy / White label: a business that adapts the Product to produce deliverables for its own clients under its own brand, without reselling, redistributing or publishing the template itself. On the e-invoicing kit pages, this level is shown as "Accounting firm / White label".

19.2. Buyers. The Company level is open to business customers and consumers. The Team and Consultancy / White label levels are for business customers only, because they cover several entities or deliverables handed to clients; the Product Page says so before the level is chosen. A public or private legal person may acquire the Team level for its own needs and those of the covered Entities; a consumer may only acquire the Company level. The buyer's status never reduces their rights: sections 23 and 24.4 apply to consumers and non-professionals whatever the level ordered.

19.3. Naming the Licensee. For the Team and Consultancy / White label levels, the buyer enters, in the field provided on the payment page, the legal name of the licensed entity and its registration number or VAT number. The payment page cannot make this field mandatory for a single level, so it is optional there. If it is left blank for one of these levels, the Publisher asks for this information by e-mail, at the address given at checkout; the License is granted to the entity named in the reply and, until then, the buyer only has the rights of the Company level. For the Company level, the field may be left blank: the Licensee is then the buyer or, if the buyer acts on behalf of a business or organization, that entity.

19.4. Business-only level ordered by a consumer. If a consumer orders the Team or Consultancy / White label level, the Publisher informs them by e-mail and refunds the price paid in full, including taxes, within fourteen days of the order at the latest; the consumer may acquire the Company or personal use level. Until the refund, section 23 applies to them.

↑ Contents

Section 20Ordering a Product

20.1. Online. On the Product Page, the buyer chooses the License level, completes the requested fields, including, for the Team and Consultancy / White label levels, the licensed entity (section 19.3), ticks the box accepting the License Terms, which refer to these Terms and include them (section 1.2 of the License Terms), then pays; these Terms can be read before payment through the link on the Product Page (lesbonsmots.gumroad.com/terms). The contract is concluded when payment is confirmed.

20.2. On quote. Licenses for more than five entities, a network of firms, integration into software or a training course are quoted on request. The request is sent in writing through the messaging on the MOE CAPITAL Digital LinkedIn page; the Publisher replies with a written Quote together with these Terms and the License Terms, stating the payment terms. The contract is concluded when the Quote is accepted in writing.

20.3. The Publisher may decline an order on quote where the intended use is prohibited by the License Terms or where the order would be incompatible with a contractual commitment of the Publisher; nothing is then due.

Section 21Prices and payment for Products

21.1. Prices are stated on the Product Page for each License level, excluding taxes: in euros for the French editions, in US dollars for the English editions. Applicable taxes are calculated and added by the platform at checkout, or by the Publisher on the invoice for an order on quote. Consumers. The platform adds VAT at checkout and cannot display prices including VAT: for the Company or personal use level, the Product Page therefore also states, at the top of the description and on that level's option, the price including VAT paid by a consumer in France (standard rate of 20%); in another country, the platform applies that country's rate.

21.2. Online orders. The price is paid in full when ordering, through the platform, which issues the receipt and the invoice.

21.3. Orders on quote. The Quote sets out the payment terms. The invoice is issued by the Publisher, including, for a French public buyer, through the State invoicing portal (Chorus Pro). Business customers. Late payment automatically bears interest at the European Central Bank's most recent refinancing rate plus 10 percentage points, plus a fixed recovery fee of €40 (French Commercial Code, articles L441-10 and D441-5). Public buyers. For a buyer subject to the French public procurement code, late payment automatically bears statutory late-payment interest (European Central Bank rate plus 8 percentage points) and the fixed recovery fee of €40 (French public procurement code, articles R2192-31 et seq.).

21.4. A discount code applies on the terms and for the period stated on the Product Page or when it is announced. Codes cannot be combined unless stated otherwise.

21.5. Change of level. Within twelve months of purchase, the Licensee may move to a higher level for the same Product by paying the price difference, under section 7.3 of the License Terms.

↑ Contents

Section 22Delivery, updates and support

22.1. The Product can be downloaded as soon as payment is confirmed, from the buyer's library on the platform or, for an order on quote, upon payment or receipt of the purchase order, as set out in the Quote.

22.2. The Product Page states the content, formats and compatibility of the Product (for example Excel 2016 or later). The buyer checks compatibility before ordering.

22.3. Updates are provided for twelve months from purchase, under section 3.6 of the License Terms, without prejudice, for consumers and non-professionals, to the updates needed to keep the Product in conformity, which the Publisher provides for the period they can reasonably expect (French Consumer Code, article L224-25-25).

22.4. Support covers the use of the Product, in writing, within the times of each level: 3 working days for the Company level; 2 working days and one onboarding video call of up to 45 minutes for the Team and Consultancy / White label levels (no video call for the Team license of the e-invoicing kit). Adapting a Product to the Licensee's situation is a service ordered on quote (section 26.3).

Section 23Consumers: withdrawal, statutory guarantees and mediation

23.1. Scope. This section applies to every consumer who acquires a Product, whatever the level ordered; where a consumer has ordered a business-only level, section 19.4 also applies. Section 23.7 also applies to non-professionals (French Consumer Code, article L224-25-31).

23.2. 14-day right of withdrawal. Consumers have fourteen days from the conclusion of the contract, that is from the payment confirmation, to withdraw without giving any reason (French Consumer Code, article L221-18; Directive 2011/83/EU, article 9). The day of the order is not counted; a period ending on a Saturday, Sunday or public holiday is extended to the next working day.

23.3. Download during the period. The Publisher does not ask consumers to waive their right of withdrawal to access the Product: they may withdraw throughout the period, even after downloading the Product. Accepting these Terms or the License Terms is not a waiver.

23.4. How to withdraw. Before the period expires, consumers inform the Publisher of their decision by any of the following:

  • the "Withdraw from contract here" function, free of charge and available throughout the period, at lesbonsmots.gumroad.com/withdrawal, reachable from every Product Page, from the receipt and from the top of these Terms: it lists the information to give, namely their full name, the contract concerned (Product and order date, or receipt number) and the e-mail address where they want to receive the acknowledgement; the "Confirm withdrawal" button prepares the withdrawal e-mail, which the consumer completes and sends;
  • an e-mail to hocine.bechaoui@gmail.com, the support address shown on the receipt;
  • the model form of section 14 or any other unequivocal statement, sent by e-mail, through the messaging on the MOE CAPITAL Digital LinkedIn page or by post to the registered office (French Consumer Code, article L221-21).

The Publisher sends them, on a durable medium (e-mail), within a reasonable time and no later than the first working day after receipt, an acknowledgement stating the content of the statement and the date and time it was sent.

Withdraw from contract here

23.5. Refund. The Publisher refunds all sums paid, including taxes, no later than fourteen days after being informed of the decision, using the same means of payment as for the order, through a refund on the platform. No fee is charged.

23.6. After withdrawal. The License ends. The consumer stops using the Product, does not make it available to third parties and deletes its copies.

23.7. Statutory guarantee of conformity. Consumers, like non-professionals (article L224-25-31), have the statutory guarantee of conformity for digital content under articles L224-25-12 et seq. of the French Consumer Code (Directive (EU) 2019/770), which are mandatory (article L224-25-32): the Publisher is liable for any lack of conformity existing at the time of supply and appearing within two years of it. Their rights are summarized in Appendix 2. Consumers also have the guarantee against hidden defects (French Civil Code, articles 1641 to 1649). Nothing in these Terms or in the License Terms reduces these guarantees.

23.8. Contract confirmation. The Publisher confirms the contract on a durable medium: the receipt e-mailed by the platform after payment, whose message from the Publisher states its identity and contact details, the right of withdrawal and the "Withdraw from contract here" link, the statutory guarantee of conformity and the consumer mediator; and the License Terms in PDF attached to the Product, which set out the right of withdrawal and the model form.

23.9. Complaints and mediation. Complaints are handled under section 15.1. If a written complaint fails, consumers may refer the dispute free of charge to the consumer mediator named in section 15.2.

Section 24Warranties and liability for Products

24.1. The Product conforms to the description on its Product Page on the delivery date. A business customer reports any lack of conformity in writing within thirty days of purchase; the Publisher corrects or replaces the Product within a reasonable time or, failing that, refunds the price paid. This thirty-day period applies neither to consumers nor to non-professionals, who have the statutory guarantee of section 23.7.

24.2. The Products are written with the help of artificial intelligence tools, then structured and checked by a professional of the field, and delivered with fictitious data. They are decision-support tools: they are not legal, tax or financial advice, and the Publisher guarantees no result from their use, subject to mandatory statutory guarantees. The Licensee checks the state of the texts on the date of use.

24.3. Business customers. The Publisher is liable only for proven fault. Liability is limited to direct and foreseeable loss and capped at the price paid for the License concerned. Indirect loss is excluded, including loss of revenue, profit, opportunity, contract or data, claims by the Licensee's clients and the consequences of decisions made by the Licensee or by third parties. These limits do not apply to gross negligence, wilful misconduct or personal injury, nor where the law prohibits them.

24.4. Consumers and non-professionals. Nothing in these Terms or in the License Terms excludes or limits the right to compensation of a consumer or a non-professional if the Publisher fails to perform any of its obligations, nor any of their statutory rights.

Section 25Intellectual property in Products

The Publisher retains all rights in the Products, their editions and their updates. Buying a Product confers only the License of the chosen level, under the License Terms, with no transfer of ownership. Any use outside the limits of the License is handled under section 11 of the License Terms.

Section 26How services and Products fit together

26.1. Where a service uses a Product as a base (section 11.2), the Customer receives the rights of section 11.1 in the Deliverable; it receives no License in the Product itself beyond that Deliverable.

26.2. A Consultancy / White label Licensee that uses a Product to serve its own clients acts in its own name and under its sole responsibility; the Publisher is not the service provider of those clients.

26.3. Adapting a Product to the Licensee's situation, reviewing its documents or supporting it on a project is a fixed-price service ordered under sections 5 et seq.

Section 27Changes to these Terms

The Provider may publish a new version of these Terms. It applies to orders placed after its publication; the Terms accepted for an order remain applicable to that order, and a new version never restricts the rights of a License already acquired.

Appendix 2Statutory guarantee of conformity for digital content (consumers)

Summary of consumers' rights (French Consumer Code, articles L224-25-1 to L224-25-31). For consumers in France, the French version (lesbonsmots.gumroad.com/cgv, Annexe 5) prevails.

  • Consumers have two years from the supply of the digital content to rely on the statutory guarantee of conformity. During the first year, they only need to prove the defect, not when it appeared.
  • The guarantee includes the updates needed to keep the digital content in conformity.
  • Consumers are entitled to have the content brought into conformity without undue delay, free of charge and without significant inconvenience.
  • They may obtain a price reduction, or terminate the contract and be refunded by giving up the digital content, in particular if conformity is refused, delayed, charged for or causes significant inconvenience, or if the defect persists after an attempt to remedy it. If the defect is serious enough to justify an immediate reduction or termination, they do not need to ask for a remedy first. For a minor defect, termination is only possible if the contract provides for no price. Refunds are made within fourteen days.
  • The period during which the content is unavailable while being brought into conformity suspends the remaining guarantee period.
  • A trader who obstructs the statutory guarantee in bad faith is liable to a civil fine of up to €300,000, which may be raised to 10% of average annual turnover (article L242-18-1).
  • Consumers also have the guarantee against hidden defects (French Civil Code, articles 1641 to 1649), for two years from discovery of the defect.

To use it: e-mail hocine.bechaoui@gmail.com or message the MOE CAPITAL Digital LinkedIn page, describing the defect.
